ARKIVE TERMS AND CONDITIONS

1. DEFINITIONS

1.1 “Arkive”, “we”, “us”, or “our” means Arkive B.V., a company registered in The Netherlands.
1.2 “Client”, “you”, or “your” means any individual or entity that creates an account or uses Arkive’s Services.
1.3 “Services” means the Arkive platform, including all digital product passport tools, integrations, LCA data analytics, APIs, and related software accessible via https://arkive.nl.
1.4 “Agreement” means these Terms and Conditions, including any order forms, contracts, or subscription agreements accepted by the Client.


2. ACCEPTANCE OF TERMS

2.1 By creating an account, subscribing to, or using any Arkive Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
2.2 Acceptance of these Terms is mandatory for the use of the Arkive platform.
2.3 If you do not agree to these Terms, you must not access or use the Services.


3. PURPOSE OF THE PLATFORM

3.1 Arkive provides digital product passports for businesses operating in Europe, enabling transparency and traceability of products throughout their lifecycle.
3.2 The platform offers Life Cycle Assessment (“LCA”)–based environmental data, emissions reporting, and analytics tools designed to support compliance with sustainability legislation and eco-labeling requirements.


4. CONTRACT TERM AND INTEGRATION FEES

4.1 A minimum contract duration of one (1) year applies to all new Clients.
4.2 Clients who wish to cancel before the end of the first year may do so only if they have paid a one-time integration fee of four thousand euros (€4,000).
4.3 If the integration fee is paid, the Client may cancel the monthly subscription at any time after integration is complete.
4.4 If the integration fee is not paid, cancellation is only possible after the initial twelve (12) months.


5. INTEGRATION RESPONSIBILITIES

5.1 The Client is responsible for the integration phase, including but not limited to:
(a) Providing timely access to relevant systems, APIs, and data sources;
(b) Delivering accurate product and attribute information as specified in Arkive’s technical documentation.

5.2 Arkive shall complete the agreed integration within two (2) weeks after receiving all required access and data in the proper format.
5.3 The integration period begins only once Arkive confirms full access to the Client’s systems and data.


6. API AND PLATFORM ACCESS

6.1 Integration with the Arkive API is mandatory to access daily LCA analytics and product performance data.
6.2 The Client’s usage rights depend on the pricing model selected at https://arkive.nl/pricing.
6.3 Arkive reserves the right to update, modify, or suspend API features or analytics tools, provided that the Client receives reasonable notice.


7. DATA MODEL AND CUSTOM DEVELOPMENT

7.1 Arkive provides a standardized data model for digital product passports.
7.2 If the Client submits data outside this standardized structure, the work will be considered custom development.
7.3 Any customization or request for additional analytics may only be performed through purchased development retainer hours.


8. LCA MODELS AND ENVIRONMENTAL ATTRIBUTES

8.1 Each product passport includes defined environmental attributes, such as emissions.
8.2 Emissions values are calculated via an LCA (Life Cycle Assessment):
(a) If the Client already possesses an LCA, it must be provided to Arkive as an input model.
(b) If the Client does not have an LCA, Arkive can perform the assessment and issue a certificate at the applicable rate.

8.3 Arkive utilizes standardized LCA models but may indicate the data completeness and transparency score on each passport, for example by including transport modes, energy inputs, or production methods.
8.4 Higher data quality results in a higher sustainability rating within the Arkive system.


9. MARKETING STATEMENTS AND COMPLIANCE

9.1 Any marketing, labeling, or sustainability claims made by the Client using Arkive data must be verifiable and supported by valid certification.
9.2 Arkive shall not be held responsible for any misleading or unverified claims made by the Client in marketing materials, websites, or public communications.


10. FEES AND PAYMENT TERMS

10.1 Fees are displayed on the official Arkive website and/or in the Client’s order confirmation.
10.2 Payments are due as indicated on invoices or subscription terms.
10.3 Late or missed payments may result in suspension or termination of platform access.
10.4 All fees are exclusive of applicable taxes, unless otherwise stated.


11. INTELLECTUAL PROPERTY RIGHTS

11.1 All intellectual property, software, databases, and content available through Arkive remain the exclusive property of Arkive B.V.
11.2 The Client is granted a non-exclusive, non-transferable, limited right to use the Services in accordance with this Agreement.
11.3 The Client shall not copy, reverse engineer, resell, or distribute any part of the Arkive system or its underlying code.


12. LIABILITY AND WARRANTY DISCLAIMER

12.1 Arkive shall make reasonable efforts to provide continuous access to the Services, but does not guarantee uninterrupted or error-free operation.
12.2 Arkive shall not be liable for damages caused by inaccurate data supplied by the Client.
12.3 In no event shall Arkive’s aggregate liability exceed the total amount paid by the Client during the twelve (12) months preceding the claim.


13. TERMINATION

13.1 Either party may terminate the Agreement after the first year or earlier if the integration fee has been paid.
13.2 Upon termination, the Client’s access to all Services, APIs, and data shall be disabled.
13.3 Arkive will delete Client data in accordance with its Privacy Policy and applicable data protection laws.


14. GOVERNING LAW AND JURISDICTION

14.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the Netherlands.
14.2 Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, The Netherlands.

16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between Arkive and the Client, superseding any prior communications or agreements, whether oral or written.

These Terms and Conditions have been drafted based on current Dutch and European Union legislation applicable to digital platforms, data processing, and sustainability reporting.

Arkive B.V. has prepared this document in consultation with independent legal advisors to ensure compliance with relevant business and consumer protection regulations in Europe. However, this document does not constitute formal legal advice. Clients are encouraged to seek independent legal counsel to verify how these Terms apply to their specific circumstances.
